Terms of Service
End User License Agreement

1. Acceptance of Terms
By accessing or using the LaliSays platform ("Service"), including the web portal, API, and agent software, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you ("User") and Excelling Services, LLC d/b/a Quality IT Solutions ("Company," "we," "us").
2. Beta Service
The Service is currently in beta. This means the platform is still under active development and may contain bugs, errors, or incomplete features. We may add, modify, or remove features at any time without prior notice. During the beta period:
- The Service is provided for evaluation and early-access use.
- Functionality, performance, and availability may vary and are not guaranteed.
- Data formats, APIs, and integrations may change without backward compatibility.
- We strongly recommend maintaining your own backups of any critical data.
- Your feedback helps us improve the platform — please report any issues to our support team.
We will notify users when the Service exits beta. These Terms apply fully during and after the beta period.
3. Description of Service
LaliSays is an AI-powered business automation platform that includes cloud-hosted services (the control plane), on-premises agent software, a management portal, and third-party integrations. The Service enables users to automate business tasks through natural language interaction and pre-configured integrations.
4. Account Registration and Security
You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials, including enabling and safeguarding multi-factor authentication. You must notify us immediately of any unauthorized access to your account. We are not liable for any loss arising from unauthorized use of your credentials.
5. User Responsibilities
- Use the Service in compliance with all applicable laws and regulations.
- Do not use the Service to transmit harmful, unlawful, or objectionable content.
- Do not attempt to gain unauthorized access to systems, networks, or data.
- Do not reverse engineer, decompile, or disassemble any component of the Service.
- Do not use the Service to send unsolicited messages (spam) via any integrated channel.
- You are responsible for ensuring your use of third-party integrations complies with those services' terms.
6. AI Conversations and Chat Data
The Service includes AI-powered chat functionality. When you interact with the AI assistant, your messages are sent to third-party AI providers (currently Anthropic) for processing. By using the chat feature, you acknowledge and agree to the following:
- Conversation storage. Your chat messages, AI responses, and associated tool actions are stored as conversation history within your organization's account. Authorized users and administrators within your organization may have access to conversation records.
- Third-party AI processing. Your messages are transmitted to Anthropic's API for AI processing. Anthropic's usage policies and data handling practices apply to this processing. We do not control how Anthropic processes data beyond our contractual agreements with them.
- No guarantee of accuracy. AI-generated responses, recommendations, and actions may be inaccurate, incomplete, or inappropriate. You are solely responsible for reviewing and verifying any AI output before relying on it, especially for financial, legal, medical, or other consequential decisions.
- Automated actions. The AI assistant can execute actions on your behalf through connected integrations (sending emails, creating invoices, modifying files, etc.). You are responsible for reviewing and authorizing these actions. We are not liable for consequences of AI-initiated actions that you approve or fail to review.
- Sensitive data. Do not share passwords, credit card numbers, social security numbers, or other highly sensitive information in chat conversations. While conversations are encrypted in transit and at rest, the AI processing involves third-party services.
- Active retention. Conversation data is retained in the active system for 90 days from the date of last activity. After 90 days, conversations are automatically archived to encrypted cold storage.
- Archive retention. Archived conversations are retained in cold storage for up to one (1) year from the archive date, after which they are permanently deleted. Archived data is not accessible through the platform interface.
- Restoration. You may request restoration of archived conversations by contacting support. Restored conversations are made available in a read-only archives section for review. Restoration of archived data may be subject to additional fees as part of our data retention service.
- Deletion requests. You may request deletion of specific active conversations at any time by contacting support. Deletion of archived data before the 1-year expiration may be requested but is subject to legal and regulatory retention requirements.
- Account termination. Upon account termination, active conversation data is available for export for 30 days as described in the Termination section. Archived conversation data remains in cold storage until its scheduled deletion date (up to 1 year from archive date), unless earlier deletion is requested.
7. Data and Privacy
Your use of the Service is also governed by our Privacy Policy. Data processed by the on-premises agent remains on your infrastructure. Cloud-hosted data (account information, configuration, job metadata, conversation history) is stored securely and is accessible only to authorized users within your organization.
8. Third-Party Integrations
The Service connects to third-party platforms (Microsoft 365, Google Workspace, QuickBooks, etc.) using credentials you provide. We do not store your third-party passwords; we use OAuth2 tokens and encrypted API keys. You are responsible for maintaining valid credentials and complying with each third party's terms of service.
9. Agent Software
The on-premises agent software is licensed, not sold. You may install it on machines you own or control for the purpose of using the Service. The agent operates within configured security boundaries (file roots, allowed directories) and communicates only with the LaliSays control plane.
10. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted service. We may perform scheduled maintenance with reasonable notice. We are not liable for downtime caused by factors beyond our reasonable control, including internet outages, third-party service failures, or force majeure events.
11. Intellectual Property
All rights, title, and interest in the Service, including software, documentation, trademarks, and content, remain with Excelling Services, LLC. You retain ownership of your data. By using the Service, you grant us a limited license to process your data solely to provide the Service.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXCELLING SERVICES, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM.
13. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT AI-GENERATED OUTPUTS WILL BE ERROR-FREE, COMPLETE, OR SUITABLE FOR ANY PARTICULAR PURPOSE.
14. Termination
Either party may terminate this agreement at any time. We may suspend or terminate your access immediately if you violate these Terms. Upon termination, your right to use the Service ceases. We will make your data available for export for 30 days following termination, after which it may be deleted.
15. SMS and Communication Consent
If you consent to receive SMS or email communications from us, you may opt out at any time by following the unsubscribe instructions included in those communications, or by contacting us directly. Message and data rates may apply. SMS frequency varies based on your preferences.
16. Modifications to Terms
We may update these Terms from time to time. Material changes will be communicated via email or through the Service. Continued use of the Service after changes constitutes acceptance of the updated Terms.
17. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Florida, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in Florida.
